These terms set the current framework for working with the studio: project scope, payment, delivery and ownership of the work.
Agreement
Collaboration framework
Each project is defined by brief, scope, timeline, price and delivery conditions.Project scope
Features, pages, panels and outputs are defined in writing before execution begins.
Payment and delivery
Payment, phasing and delivery follow the project agreement, confirmed before each phase starts.
Output ownership
Upon full payment, usage rights to the final deliverable transfer to the client per the agreement; the studio's own general-purpose or open-source tooling is not included in that transfer.
Changes
Changes and additional requests
Changes to the agreed scope (a new feature, an extra page, an architecture change) are reviewed and priced as a separate request.In-phase revisions
Minor revisions aligned with the original brief are handled at no extra cost within the current phase.
Out-of-scope requests
Anything beyond the original agreement is confirmed with a separate time/cost estimate before it is built.
Responsibilities
Responsibilities of both parties
A successful collaboration needs both sides to show up — especially with timely information and feedback.Client responsibilities
Providing accurate information, files and timely feedback to avoid delivery delays.
Studio responsibilities
Professional execution to the agreed technical standard, with transparent project status updates.
Liability
Liability limitation and warranty
Services are delivered on a best-effort professional basis; the studio's liability is limited to the amount paid for that project.No unlimited implied warranty
Deliverables are provided per the agreed specification; no warranty is implied beyond the written agreement.
Liability cap
In all cases, the studio's liability for damages will not exceed the amount paid for that specific project.
Termination
Cancellation and ending collaboration
Either party may end the collaboration before project completion with written notice; completed phases are settled.Cancellation before delivery
Payment for completed phases is due; unfinished work is not handed over except by separate agreement.
Law
Governing law and disputes
These terms are governed by the laws of the Islamic Republic of Iran, and disputes are first addressed through direct negotiation.Negotiation first
Both parties agree to first attempt a good-faith resolution before pursuing any formal action.
